Terms of Service

Welcome to PicDoc! These Terms of Service (hereinafter referred to as the "Terms") apply to your (hereinafter referred to as "you") use of the PicDoc visual communication platform (hereinafter referred to as the "Service"). By using the Service, you agree that these Terms constitute a legally binding agreement between you and the contracting entity of PicDoc specified herein (hereinafter referred to as "PicDoc").

1.Overview

a. Using PicDoc.

PicDoc is a visual document communication product that enables users to write text and transform it into visual images (each referred to as a "doc"). When you use the Service, you will have access to various content provided by PicDoc, which you may use in your docs (collectively, the "Licensed Content"). You may also choose to upload your own content, such as images ("User Content"), over which you retain full control and responsibility. You may create docs using the Licensed Content, your User Content, and the tools provided by PicDoc.

The Service is provided by PicDoc.ai. Your use of the Service is subject to these Terms. By using the Service, you acknowledge and agree to our Privacy Policy.

You may only use the Service as permitted by law. By using the Service, you represent and warrant that you have the full right, power, and authority to agree to and be bound by these Terms and to perform all obligations under these Terms.

2. Use of the Service

2.1 Age Requirement.

Children are not permitted to access or use the Service. For the purposes of these Terms, “children” refers to individuals under the age of 13, or the minimum legal age required to consent to the processing of personal data in their country or region of residence.

2.2 Access to the Service.

Subject to your compliance with these Terms, you are granted a non-exclusive, limited, non-transferable, and freely revocable license to access and use the Service for commercial or personal purposes. PicDoc reserves all rights not expressly granted under these Terms. Each individual must maintain a unique account and is responsible for all activity that occurs under their account. You may not allow any third party to access or use the Service using your unique username, password, or other security credentials.

2.3 Acceptable Use Policy.

Your use of the Service, your User Content, and your docs must comply with the following policies:

2.3.1 Anti-Discrimination.

PicDoc does not support or tolerate the use of the Service to discriminate against others, particularly on the basis of race, religion, gender, sexual orientation, age, disability, ancestry, or nationality. You may not use the Service in any way that incites, promotes, or supports such discrimination, nor may you use the Service in any way that incites or promotes hostility or violence. If we reasonably determine that your use of the Service involves such discrimination, particularly based on the categories listed above, we may terminate or suspend your access to the Service, either temporarily or permanently, without notice or liability.

2.3.2 General Use

You agree not to upload content, create docs, or otherwise use PicDoc directly or indirectly in ways that:

      Encourage or result in physical or psychological harm, emotional distress, death, disability, or disfigurement to yourself, others, or animals;
      Encourage or result in damage, loss, or destruction of property;
      Seek to harm or exploit minors;
      Harass, abuse, racially or ethnically attack, demean, invade personal privacy or publicity rights, defame, or threaten others;
      Discriminate, incite, or advocate discrimination based on race, religion, gender, sexual orientation, age, disability, ancestry, nationality, or any other ground;
      Are sexually explicit or pornographic, or link to such materials;
      Involve the sale or promotion of illegal activities, products, or services;
      Engage in fraud or promote fraudulent activities;
      Infringe upon the rights of any individual or third party, including intellectual property rights and data privacy rights;
      Contain any information or content that you do not have the right to provide under any law, confidentiality, contract, or fiduciary duty;
      Contain any false, deceptive, or misleading information or endorsements, or otherwise promote the dissemination of misinformation;
      Violate any applicable law or regulation or promote illegal activity;
      Threaten or undermine democratic processes or institutions.

If you fail to comply with any provision of PicDoc's Acceptable Use Policy, PicDoc may immediately remove the offending User Content and/or doc, or suspend or terminate your account.

2.4 Restrictions on Use of the Service.

You may not, either directly or through a third party:(i) Rent, lease, sell, distribute, provide as a service bureau, sublicense, or otherwise make the Service or Licensed Content available to any third party (except as expressly permitted herein);(ii) Copy, reproduce, decompile, reverse engineer, attempt to access the source code of, modify, or create derivative works from the Service or any part thereof;(iii) Access the Service for the purpose of performance benchmarking;(iv) Access the Service for the purpose of building or marketing a competing product;(v) Use the Service to store or transmit viruses or malicious code;(vi) Use a Virtual Private Network (VPN) to circumvent geo-based pricing or content restrictions;(vii) Use the Service to send unsolicited emails or engage in spamming;(viii) Mine, extract, or scrape data from the Service and/or any content available therein for any purpose (including, without limitation, artificial intelligence, machine learning, or data science purposes); or(ix) Circumvent any measures we may use to prevent or restrict access to the Service, including but not limited to restrictions on use or copying of any content or functionality that enforces usage limits of the Service or Licensed Content.

3. Security and Data Privacy

a. Information Security.

PicDoc implements and maintains physical, technical, and administrative security measures designed to protect your information from unauthorized access, destruction, use, modification, or disclosure.

b. Data Privacy.

PicDoc’s Privacy Policy governs the collection, use, transmission, disclosure, and storage of personal data related to your account, use of the Service, User Content, and docs. Please review the PicDoc Privacy Policy for more information.

4. Content and Docs

4.1 User Content.

You represent and warrant that you own all rights, title, and interest in and to your User Content, or that you have otherwise obtained all necessary rights to your User Content as may be required to access, use, and distribute such content under these Terms. As between you and PicDoc, you retain all rights, title, and interest in and to your User Content.

You hereby grant to PicDoc a royalty-free, sublicensable license to display, host, reproduce, store, and use your User Content solely to the extent necessary to provide the Service to you. If you include User Content in a doc that you share with others, you grant to PicDoc a perpetual, royalty-free, sublicensable license to display, host, reproduce, store, and use your User Content to the extent necessary to continue providing such shared doc.

By uploading content to PicDoc, you affirm that you own all rights to that content. We do not claim ownership of your content, but we do require that you grant us certain rights to store it and make it available to you for use in your docs. PicDoc will not, without your explicit authorization, use your User Content to develop, improve, or provide AI products or services, including machine learning technologies.

4.2 Licensed Content.

You may use the Licensed Content in connection with the Service. Use of Licensed Content is subject to the following License Terms provided by PicDoc. PicDoc offers a rich library of content for use in your docs, including infographics, icons, illustrations, fonts, and templates (collectively, the “Content”). By using any such Content within PicDoc docs, you agree to be bound by this Agreement. If you do not agree to the terms herein, do not use any such Content.

4.2.1 Content License Terms

Subject to the terms of this Agreement, we grant you a perpetual, non-exclusive, non-transferable (subject to Section 4A below), worldwide license to use the Content or templates for commercial use within PicDoc. PicDoc is currently in a free-trial phase and reserves the right to change the license terms for free content at any time. Any rights to content already exported before such changes will remain unaffected.

4.2.2 AI-Generated Content

Text content in this product is provided via a third-party large language model API. You are solely responsible for evaluating the safety and accuracy of any AI-generated results.

4.2.3 Prohibited Uses

You may not use any free or premium content from PicDoc to:

      Sublicense, resell, rent, loan, transfer, gift, or otherwise distribute the Content or the rights granted under this Content License Agreement;
      Use any Content as part of a trademark, document logo, trade name, or service mark;
      Remove any copyright, trademark, or proprietary notices from any Content or PicDoc doc;
      Use the Content in a pornographic, obscene, defamatory, or otherwise unethical or infringing manner, or in any way that may reasonably be deemed to harm the reputation of any individual or property depicted in the Content;
      Use the Content in a way that negatively affects or offends any person depicted therein — including but not limited to usage in: a) Pornographic or adult content or materials; b) Tobacco product advertisements; c) Advertisements or promotional materials for adult entertainment clubs or escort/dating services; d) Political endorsements; e) Advertisements for pharmaceuticals or health, herbal, or medical products, including but not limited to dietary supplements, digestive aids, herbal remedies, personal hygiene or contraceptive products; f) Defamatory uses or any other unlawful, offensive, or immoral content, or content in violation of applicable industry standards or regulations;
      Use any Content containing identifiable persons in a way that suggests the model is engaging in immoral or illegal activities, or suffers from a physical or mental illness, disease, or condition;
      Use the Content in a manner that competes with PicDoc’s business, including but not limited to displaying Content for download or export on websites, or offering Content for sale;
      Include the Content in any product where redistribution or reuse of the Content is possible, or otherwise make the Content available in a way that allows others to extract, access, or reproduce it as a standalone file;
      Reverse engineer, decompile, or disassemble any source code included in the Content;
      Use or display the Content in any way that implies it was created by you or anyone other than the original creator or rights holder (including but not limited to claiming ownership or exclusive rights over the Content);
      Use the Content for any machine learning and/or artificial intelligence purposes, or in any applications involving biometric identification or recognition of natural persons.

4.2.4 Termination for Violation

PicDoc monitors your docs and account to ensure that you are not in violation of this License or any of our Terms. This may include monitoring downloads and exports, retaining details about your PicDoc docs, and tracking any misuse of your username or password. If you breach this License, we may suspend or terminate your account without notice.

If your account is terminated due to a violation of this License or misuse of your username or password, you will lose all rights to use the Content and PicDoc docs and must immediately delete all Content and docs obtained from PicDoc. You will not be entitled to any refund of previously paid fees. You may terminate your license to the Content by destroying all Content, docs, and any copies or archives thereof (including any accompanying materials), and by ceasing any use of PicDoc docs for any purpose.

If you fail to comply with any term, PicDoc may terminate these licenses without prior notice. Upon such termination, you must immediately:(i) cease using the Content and any PicDoc docs containing such Content for any purpose;(ii) destroy or delete all copies and archives of the Content and any PicDoc docs or accompanying materials; and(iii) if requested by PicDoc, confirm in writing your compliance with these requirements.

4.2.5 Infringement Claims

If you become aware—through PicDoc or any other source—that a third party claims the Content infringes their rights and that PicDoc may be held liable, you must immediately cease using the affected Content and bear all related costs yourself. This applies whether the claim is threatened, potential, or actual. You must also promptly remove or delete the affected Content from your premises, computer systems, and storage devices (whether electronic or physical); ensure that your clients or internet service providers (ISPs) take the same action; and notify us promptly at servicet@picdoc.cn.

4.2.6 Disclaimer

Free content is generally made available without model or property releases. Certain jurisdictions offer legal protections that prohibit the commercial use of an individual’s likeness, image, or property without proper authorization. PicDoc does not grant any rights nor make any warranties regarding the use of names, individuals, trademarks, trade dress, logos, registered documents, works of art, or architectural works depicted in free content. You are solely responsible for determining whether your proposed use of any free content requires additional rights and for obtaining such rights if necessary.

4.3 Docs

Your docs may contain both User Content and Licensed Content. While you retain ownership of your User Content, any use of docs that include Licensed Content is subject to all the provisions set forth in Section 4.2 of these Terms.

4.4 Sharing and Publishing Your Docs

You may share or publish your docs within the Service, through third-party platforms, or via shareable links. PicDoc assumes no responsibility for such sharing or publishing, and any such action—whether facilitated by the Service or performed at your direction—shall not be deemed a breach of any obligation PicDoc owes you under these Terms.

5.Use of Artificial Intelligence Products

You may use artificial intelligence applications, including but not limited to text generation; however, your use of AI products is subject to other terms and must also comply with the following restrictions:

      Misleading any person into believing that content generated by the AI product is human-generated;
      Providing medical advice or any content related to the treatment, prevention, diagnosis, or transmission of diseases;
      Providing legal or financial advice;
      Generating contracts or legally binding obligations;
      Generating political content, including dissemination during election campaigns;
      Generating spam, ransomware, keyloggers, or viruses;
      Generating nude or shocking content, including obscene gestures, bodily fluids, or other profane subjects;
      Generating or disseminating information for judicial or other legal purposes;
      Implementing fully automated decision-making.

5.1 Legal Disclaimer

You are solely responsible for any text, images, or other content (“Input”) you provide to AI products, as well as any final materials generated by such products (e.g., images or text) (“Output”). You bear the responsibility to ensure that your Inputs and Outputs comply with these Terms and our Acceptable Use Policy. Before using or sharing, you agree not to include any sensitive personal data in any AI product Input, including but not limited to data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, health information, or data concerning your sex life or sexual orientation.

Between you and PicDoc, to the extent permitted by law and subject to the terms governing your use of PicDoc, you retain ownership of your Inputs and Outputs and grant PicDoc the right to host and use your Inputs and Outputs on our platform. PicDoc makes no claim of copyright or ownership over your Inputs or Outputs.

You may use your Outputs for any lawful purpose, provided you comply with these Terms and acknowledge that any such use is at your sole risk.

When using Outputs within your PicDoc documents, we require that viewers be informed that the content was AI-generated.If any of your Inputs or Outputs are alleged to be unlawful or otherwise violate these Terms, you acknowledge that PicDoc may disclose such content to law enforcement or other government authorities, or pursuant to a court order.

PicDoc may limit the number of Outputs you create using AI products. You will be notified when your account reaches such limits. Some AI products do not support all languages.

5.2 Sharing and Publication Policy

Social Media, Live Streaming, and DemonstrationsPosting your own prompts and content on social media is generally permitted, as is live streaming or demonstrating AI products to others, provided that you:

      Manually review each Output prior to sharing or streaming;
      Attribute the content to your name or company;
      Clearly indicate that the content is AI-generated in a manner that users cannot reasonably miss or misunderstand;
      Do not share content that violates these Terms or may offend others (including when accepting prompt requests from your audience).

Co-Created Content with AI ProductsYou may publish first-party written content partially created using AI products (e.g., books) under the following conditions:

      The published content is attributed to your name or company;
      The role of AI in content creation is clearly disclosed in a manner that readers cannot reasonably overlook and can easily understand;
      The content complies with our Acceptable Use Policy and these Terms;
      You avoid sharing content that may offend others.

For example, you must detail your relative roles with the AI product in writing, editing, or other contributions in a preface, introduction, or similar section. You must not represent AI-generated content as entirely your own creation and remain ultimately responsible for all published content.

5.3 Disclaimer

Outputs from AI products are generated by artificial intelligence. PicDoc has not verified their accuracy and such outputs do not represent the views of PicDoc.

PicDoc makes no warranties or guarantees regarding the accuracy, completeness, or reliability of Outputs and assumes no liability or obligation arising from your use of the Outputs or any omissions or errors therein. We recommend that you seek professional and independent advice before acting upon any recommendations contained in Outputs or relying on their accuracy.

5.4 Technical Partners

PicDoc utilizes technology provided by third-party service providers to offer certain AI products. You acknowledge that any Input you provide, including any personal data you choose to include, will be shared with these third-party service providers engaged to enable such services. By using AI products, you instruct and consent to the transfer of any personal data contained in your Input to third parties, including OpenAI, LLC, located in the United States. Depending on your jurisdiction, OpenAI, LLC may not provide the same level of protection for your personal data.Subject to your privacy settings, we may also share your data with specific third-party service providers collaborating with us to enable features within the services, and they may use your data to improve their offerings. This may include any personal data you choose to include in such Inputs, and you acknowledge that our Privacy Policy governs the processing of such personal data.

5.5 Feedback

We welcome your feedback regarding our AI products. You may use the report button or contact our support team at any time to provide feedback.

6.Billing

PicDoc content is currently available for free use. We reserve the right to implement charges at any time. Upon such change, content you have previously created should be primarily exported by you, as we cannot guarantee that content not exported prior to the introduction of fees will remain available for free export. Please ensure you export your works promptly during the free usage period.

7.PicDoc’s Intellectual Property

Except as expressly stated otherwise in these Terms, all intellectual property rights in and to the Services and licensed content are the exclusive property of PicDoc and its licensors.Any suggestions, ideas, improvement requests, or other feedback you provide to PicDoc relating to the Services or PicDoc products are hereby assigned to PicDoc.PicDoc owns all content, data, software, inventions, ideas, and other technologies and intellectual property developed in connection with the Services and its products.

8.Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by applicable law, and subject to any non-excludable rights and remedies you may have under such law, PicDoc, its licensors, and suppliers expressly disclaim all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. PicDoc does not guarantee that your use of the Services will be uninterrupted or error-free. PicDoc does not warrant the accuracy of your data reviews nor does it guarantee that your data will be preserved or maintained without loss.You acknowledge that using the Services necessarily involves transmitting your data over networks not owned, operated, or controlled by PicDoc, and PicDoc is not responsible for any loss, alteration, interception, or storage of data on such networks. PicDoc disclaims any liability for delays, interruptions, service failures, or other issues inherent to the use of the internet, electronic communications, or systems beyond PicDoc’s reasonable control.

9.Your Indemnification Obligations

To the extent permitted by law, you agree to defend, indemnify, and hold harmless PicDoc and its affiliates, officers, directors, agents, licensors, and employees from and against all claims, costs, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to:

(i) your breach of these Terms;

or(ii) your User Content.

10.Limitation of Liability

Under no circumstances shall either party be liable for any consequential, incidental, indirect, special, punitive, or exemplary damages, losses, or costs (including but not limited to business interruption, business loss, or loss of profits), even if advised of the possibility of such damages, losses, or costs, and regardless of whether any remedy fails its essential purpose.

The foregoing limitations do not apply to liabilities arising from your indemnification obligations or from your breach of the “Service Use Restrictions” provisions.

PicDoc assumes no responsibility for the content of User Content.These Terms do not affect consumer rights that cannot be waived or limited by law.

These Terms do not exclude or limit liability arising from gross negligence, fraud, or willful misconduct by either party.

11.Term and Termination

a. Term. These Terms shall become effective upon your first access to the Services and shall remain in effect until (i) if you are a subsequent paying subscriber, your subscription expires or is terminated; or (ii) if you are using PicDoc’s free products, your account is deleted or terminated.

b. Violations. If PicDoc reasonably determines that you, your use of the Services, your User Content, or your documents violate these Terms—including but not limited to PicDoc’s Acceptable Use Policy, the section titled “Service Use Restrictions,” or the section titled “Anti-Discrimination” (any of which shall be deemed a “Violation”)—PicDoc may take one or more of the following actions: (i) remove prohibited User Content or documents; (ii) suspend your access to the Services; (iii) terminate and delete your account along with all related documents and User Content; (iv) permanently ban you from using the Services; and/or (v) disclose prohibited User Content or documents to appropriate government authorities.

c. Effect of Termination. Upon termination of Services, you will lose access to your documents, User Content, and any other information uploaded to the Services (and we may delete all such data unless prohibited by law). If your account is terminated for violations, you may not create a new account on any PicDoc service without PicDoc’s written permission.

d. Survival of Terms. The sections titled “Term and Termination,” “PicDoc’s Intellectual Property,” “Limitation of Liability,” “Indemnification,” and “Miscellaneous” shall survive expiration or termination of these Terms.

12.Miscellaneous

a. Compliance with Laws. You agree to comply with all applicable local, state, national, and foreign laws, treaties, and regulations in connection with your use of the Services. PicDoc agrees to comply with all applicable local, state, national, and foreign laws, treaties, and regulations in providing the Services.

b. Governing Law and Venue. These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

c. Export Restrictions. The Services are subject to trade sanctions and laws governing the import, export, and use of the Services. Such laws may prohibit PicDoc from providing the Services to you or require us to cease providing the Services without notice. Your use of the Services constitutes your agreement to comply with all trade sanctions and import/export laws, and you warrant that (i) you are not prohibited from accessing the Services; and (ii) you will not provide the Services to any person in any jurisdiction where such access is prohibited by law or regulation.

d. Dispute Resolution. If you have any disputes arising from these Terms, please contact us here. First, we will attempt to resolve the dispute with you directly. If we cannot resolve the dispute directly, you and PicDoc agree to binding arbitration before the American Arbitration Association (“AAA”) under its then-current Consumer Arbitration Rules for any claim, dispute, or controversy arising out of or related to these Terms and/or the Services (excluding injunctive or other equitable relief sought by PicDoc) (“Claims”), except as otherwise provided herein. Arbitration shall be conducted via videoconference or at a mutually agreed location convenient to both parties. Each party shall bear its own AAA filing, administrative, and arbitrator fees. The arbitrator may award arbitration fees, reasonable attorneys’ fees, and reasonable costs of experts and witnesses, and any arbitration award may be entered as a judgment in any court of competent jurisdiction. Nothing in this section prevents either party from seeking injunctive or other equitable relief in court as necessary to protect that party’s data security, intellectual property, or other proprietary rights from actual or threatened infringement, misappropriation, or violation. All Claims must be brought in an individual capacity only, and not as a plaintiff or class member in any purported class or representative proceeding. Unless otherwise agreed, neither the arbitrator nor any court may consolidate multiple persons’ Claims. By entering into this agreement, you and PicDoc waive any rights to a jury trial or participation in a class action. Any Claims filed for any reason in U.S. courts shall be brought exclusively in the United States District Court for the Northern District of California or the California courts located in Santa Clara County.

e. PicDoc Contracting Entity. The PicDoc entity entering into these Terms is Chuangkit (Hong Kong) Ltd.

f. Assignment. You may not assign these Terms or any rights under these Terms without PicDoc’s consent, except to any successor by merger, acquisition, or change of control. PicDoc may assign or transfer any of its rights and obligations under these Terms, in whole or in part, at any time without notice.

g. Headings and Captions. Headings and captions used in these Terms are for convenience only and shall not affect the meaning or interpretation of these Terms or any part thereof.

h. Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall not affect the remaining provisions, and these Terms shall be construed as if the invalid or unenforceable provision were limited or omitted to the minimum extent necessary.

i. Waiver. PicDoc’s express waiver or failure to enforce any provision of these Terms shall not be construed as a waiver of such provision now or in the future, nor shall it affect PicDoc’s ability to enforce any provision thereafter.

j. Notices. All required notices shall be sent to the email address associated with your account or by other legally permitted means.

k. DMCA. We respect the intellectual property rights of artists and content owners. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”) of 1998. For more information, please review our Intellectual Property Policy.

l. Changes to Terms. We may modify these Terms (and any policies or agreements referenced herein) at any time. The latest version of the Terms will be posted on PicDoc.ai. If we determine, at our sole discretion, that any changes materially adversely affect your rights or use of the Services, we will provide you with reasonable prior notice. Such notice may be delivered via the Services and/or by email to the address associated with your account. Continued use of the Services after any revised Terms take effect constitutes your acceptance of the new Terms.

m. Service Changes. PicDoc may add, modify, or remove features or functionality of the Services at any time; impose or modify storage or other limits; or discontinue the Services entirely. If your subscription service is discontinued during your subscription period, we will migrate or provide you with a comparable service (if available); if this is not possible, PicDoc will refund the prorated amount of your remaining prepaid subscription fees.

n. Entire Agreement. These Terms, together with the policies and agreements referenced herein, constitute the entire agreement between you and PicDoc regarding the Services. These Terms supersede any prior statements, agreements, or understandings, whether written or oral, between you and PicDoc relating to the Services, including any prior versions of terms. All terms, conditions, or provisions in any purchase order are null and void, even if accepted. The English version of these Terms shall prevail.
